1. Agreement to Terms

By accessing or using FacilityRegister.com, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use the platform. These Terms of Service constitute a legally binding agreement between you and Proactive Facility Solutions, LLC (“FacilityRegister,” “we,” “us,” or “our”). These terms apply to all visitors, users, and others who access or use the platform.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under applicable law to use FacilityRegister. By creating an account, you represent and warrant that you meet these requirements. Business accounts must be created by an authorized representative of the business entity. If you are creating an account on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

3. Account Types

Facility Manager (FM) Accounts

FM accounts are free and available to facility management professionals. An FM account provides access to the contractor directory, contact information for Standard and Premium contractors, and the ability to submit structured job requests. FM accounts are intended for legitimate facility management purposes only.

Contractor Accounts

Contractor accounts allow maintenance and trade businesses to create a public profile in the FacilityRegister directory. Contractor accounts are available in three tiers: Basic (free), Standard ($29.00/month), and Premium ($59.00/month). Features, inclusions, billing terms, and cancellation policies for contractor memberships are governed by the Contractor Membership Agreement, which is incorporated into and subject to these Terms of Service.

4. Account Responsibilities

You are responsible for maintaining the security of your account and for all activities that occur under it. Specifically:

• You are responsible for maintaining the confidentiality of your account credentials and must not share your password with any third party.
• You are responsible for all activity that occurs under your account, whether or not authorized by you.
• You must provide accurate, current, and complete information when creating your account and must promptly update your information if it changes.
• You may not create more than one account per individual or business, share your account credentials with others, or transfer your account to any third party.
• You may not use another person’s account without their explicit authorization.
• You must notify us immediately at info@facilityregister.com if you suspect unauthorized access to or use of your account.

5. Contractor Listings

Contractors are solely responsible for the accuracy, completeness, and truthfulness of their profile information, including but not limited to license numbers, insurance coverage amounts and expiration dates, service areas, trade categories, and business descriptions. You represent and warrant that all information you submit is accurate and that you hold all licenses and certifications you claim.

FacilityRegister does not independently verify the accuracy of information on Basic listings. Standard and Premium members may request verification of license and insurance credentials through our verification process. The presence of a verification badge does not constitute an endorsement by FacilityRegister of the contractor’s services, qualifications, or business practices. See our Disclaimer for full details.

6. FM Use of the Directory

FM accounts are provided for legitimate facility management purposes only. Specifically, FM accounts may not be used for competitive intelligence gathering against contractors listed on the platform, unsolicited solicitation or marketing to contractors outside of genuine job request purposes, mass data collection or directory scraping, or any purpose that could cause harm or disadvantage to contractors listed on FacilityRegister. We reserve the right to terminate any FM account that we determine, in our sole discretion, is being used in bad faith or for purposes inconsistent with these terms.

7. Job Requests

FacilityRegister facilitates connections between facility managers and contractors by providing a structured job request system. However, FacilityRegister is not a party to any agreement, contract, or transaction between facility managers and contractors that may arise from use of the platform.

FacilityRegister makes no representations regarding the quality, suitability, timeliness, legality, or reliability of any contractor listed on the platform, nor of any work performed pursuant to a connection made through the platform. Facility managers and contractors are each solely responsible for conducting their own due diligence — including independently verifying licenses, insurance, references, and qualifications — before entering into any business relationship or agreement.

8. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Posting false, misleading, inaccurate, or fraudulent information on any profile or through any communication on the platform.
• Impersonating any person, business, or entity, or misrepresenting your affiliation with any person or organization.
• Using the platform for any purpose that is unlawful, harmful, fraudulent, or prohibited by these terms.
• Attempting to gain unauthorized access to any portion of the platform, accounts belonging to other users, or the underlying systems or infrastructure.
• Using automated bots, crawlers, scrapers, or other tools to collect data from the platform without our prior written consent.
• Using the platform to send spam, unsolicited commercial communications, or chain letters.
• Interfering with or disrupting the operation of the platform, its servers, or its networks.
• Posting content that is defamatory, harassing, abusive, threatening, obscene, or discriminatory on the basis of race, gender, religion, national origin, disability, or any other protected characteristic.
• Uploading or transmitting viruses, malware, or any other malicious code intended to disrupt, damage, or gain unauthorized access to any system or data.

9. Intellectual Property

All content on FacilityRegister, including but not limited to design, layout, text, graphics, logos, icons, images, and software, is owned by or licensed to Proactive Facility Solutions, LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or transmit any content from the platform without our prior written permission.

By posting content on FacilityRegister — including profile information, company descriptions, photos, and other materials — you grant Proactive Facility Solutions, LLC a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute that content on the platform and in connection with our services. You represent that you own or have the right to grant this license for all content you post.

10. Disclaimer of Warranties

FACILITYREGISTER IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CONTRACTOR INFORMATION, PROFILE DATA, OR OTHER CONTENT ON THE PLATFORM. YOUR USE OF FACILITYREGISTER IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROACTIVE FACILITY SOLUTIONS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF FACILITYREGISTER OR ANY CONTRACTOR SERVICES OBTAINED THROUGH THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CASES, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE THREE MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless Proactive Facility Solutions, LLC and its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees and court costs) arising out of or relating to: (a) your use of the platform; (b) your violation of these Terms of Service; (c) your violation of any applicable law or regulation; (d) any content you submit or post on the platform; or (e) any dispute between you and another user of the platform. We reserve the right to assume exclusive control of the defense of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in asserting available defenses.

13. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms of Service or the breach, termination, enforcement, interpretation, or validity thereof, or your use of FacilityRegister, shall be resolved by binding arbitration in Fulton County, Georgia, in accordance with the rules of the American Arbitration Association then in effect. The arbitration shall be conducted by a single arbitrator. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver: You waive any right to participate as a plaintiff or class member in any purported class action, collective action, or representative proceeding with respect to any claim arising out of or related to these terms or the platform.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where such relief is necessary to prevent irreparable harm pending or in connection with arbitration.

14. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 13, you consent to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia for the resolution of any such dispute.

15. Termination

We reserve the right to suspend or terminate your account and access to the platform at any time, with or without notice, for any violation of these Terms of Service or for any other reason at our sole discretion. Upon termination, your right to use the platform will immediately cease. For paid contractor memberships, termination for cause will not entitle you to any refund. Termination without cause by FacilityRegister for paid memberships will result in a prorated refund for any unused prepaid subscription time.

You may terminate your account at any time by contacting us at info@facilityregister.com or through your account settings. Termination of your account does not automatically entitle you to a refund except as outlined in the Contractor Membership Agreement. Sections of these terms that by their nature should survive termination — including Sections 9, 10, 11, 12, 13, and 14 — shall survive.

16. Changes to Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will notify registered users by email or by posting a prominent notice on the platform at least 14 days before the changes take effect. Non-material changes may take effect immediately upon posting. Your continued use of FacilityRegister after the effective date of any changes constitutes your acceptance of the updated terms. If you do not agree to updated terms, you must stop using the platform and may terminate your account before the effective date of the changes.
