Contractor Membership Agreement

Terms governing paid contractor memberships on FacilityRegister.

1. Overview

This Contractor Membership Agreement (“Agreement”) governs your paid membership on FacilityRegister.com and is incorporated into and made subject to the FacilityRegister Terms of Service. In the event of any conflict between this Agreement and the Terms of Service, the Terms of Service shall govern. By purchasing a contractor membership — whether Basic, Standard, or Premium — you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. This Agreement is entered into between you and Proactive Facility Solutions, LLC (“FacilityRegister,” “we,” “us,” or “our”).

2. Membership Tiers

FacilityRegister offers contractor memberships at the following tiers:

Features and inclusions for each tier are described on the /get-registered/ page and may be updated from time to time. FacilityRegister will provide notice to active paid members before making material changes to tier features.

3. Billing and Payment

The following billing terms apply to all paid contractor memberships (Standard and Premium):

  • Membership fees are billed monthly in advance on the anniversary date of your initial subscription.
  • Payment is processed securely through our third-party payment processor. We do not store full payment card numbers on our servers.
  • By subscribing to a paid membership, you authorize FacilityRegister to charge your payment method on file on each recurring billing date until you cancel.
  • If a payment fails, we will attempt to retry the charge and notify you by email. After three (3) consecutive failed payment attempts, your account may be automatically downgraded to the Basic tier until payment is successfully processed.
  • All membership fees are charged in U.S. Dollars (USD). You are responsible for any applicable taxes, banking fees, or currency conversion charges imposed by your financial institution.
  • You may update your payment method at any time through your account settings or by contacting us at info@facilityregister.com.

4. Free Trial

New Standard and Premium members receive their first month of membership free of charge (the “Trial Period”). The Trial Period begins on the date you complete membership registration and runs for thirty (30) calendar days.

At the conclusion of the Trial Period, billing will begin automatically on the applicable monthly rate unless you cancel before the Trial Period ends. You will not receive a reminder before the Trial Period expires. It is your responsibility to cancel before the end of the Trial Period if you do not wish to be charged. Cancellation instructions are provided in Section 5 below. The free trial offer is available to new members only and may not be used more than once per business entity.

5. Cancellation Policy

You may cancel your paid membership at any time. The following terms apply to cancellations:

  • Cancellations may be processed through your account settings or by contacting us at info@facilityregister.com.
  • Upon cancellation, your paid membership remains active through the end of the current billing period. You will retain all features of your current tier until that date.
  • After the billing period ends, your account will be automatically downgraded to the Basic tier. Your contractor profile will remain visible in the directory at the Basic tier level unless you request full profile removal.
  • There is no cancellation fee. You will not be charged for any billing period after your cancellation is processed.
  • Reactivating a paid membership after cancellation may be done at any time from your account settings at the then-current pricing.

6. Refund Policy

Monthly Memberships

Monthly membership fees are non-refundable. Because memberships are billed in advance and access to membership features begins immediately upon payment, no refunds are issued for monthly membership charges once a billing period has commenced. You may cancel at any time to prevent future charges.

Annual Memberships (When Available)

If annual membership options become available, refunds for annual memberships will be provided on a prorated basis for unused full months remaining in the subscription term, less the current month in which the cancellation is processed. No refund will be issued for the month in which cancellation occurs. Prorated refunds will be credited to the original payment method within ten (10) business days of approval.

Exceptions

Refund requests due to platform failure resulting in extended service unavailability, duplicate charges, or unauthorized charges will be reviewed on a case-by-case basis. To request an exception refund, contact info@facilityregister.com within 30 days of the charge in question with a description of the issue and supporting documentation. FacilityRegister reserves the right to determine the eligibility and amount of any exception refund in its sole discretion.

7. Profile Requirements

All contractor profiles on FacilityRegister must meet the following requirements regardless of membership tier:

  • All profile information must be accurate, complete, and truthful. You must not include false, misleading, or fraudulent claims.
  • Profiles must represent an actual, legally operating business entity. Sole proprietors and single-person contractors are welcome provided the business is legitimately operating.
  • You must only list services, trade categories, and coverage areas for which your business is qualified, appropriately licensed, and insured to perform.
  • You must not claim false credentials, fabricated license numbers, or insurance coverage you do not actually hold.
  • Profile information must be kept current. You are responsible for updating your profile promptly if your license status, insurance coverage, service areas, or other information changes.

FacilityRegister reserves the right to review, modify, suspend, or remove any profile that we determine, in our sole discretion, violates these requirements or the Terms of Service. Removal for cause does not entitle you to a refund of any membership fees paid.

8. Verification

Standard and Premium members may request verification of their contractor license(s) and certificate(s) of insurance. Verification is a voluntary process available to paid members and is subject to the following terms:

  • Verification requires submission of current, valid, and legible documentation directly to FacilityRegister. Accepted documents include current contractor license certificates and certificates of insurance showing coverage amounts and expiration dates.
  • Verification is conducted on the documents provided at the time of submission. FacilityRegister does not conduct ongoing monitoring of license or insurance status.
  • A verification badge will be displayed on your profile once the review process is completed. Verification badges are subject to periodic renewal and may be removed if documentation lapses, expires, or is found to be inaccurate or fraudulent.
  • You must notify FacilityRegister promptly if any verified credential lapses, is revoked, or if your coverage materially changes.

FacilityRegister is not liable for any damages resulting from reliance on verification badges. A verification badge indicates only that submitted documentation was reviewed at a point in time. Facility managers are still responsible for independently verifying contractor credentials before engaging services. See our Disclaimer for full details.

9. Job Requests

FacilityRegister is a directory and connection platform only. Your membership fee pays for access to the platform and a listing in the contractor directory. We do not guarantee that you will receive any job requests, that any facility manager will engage your services, or that your membership will generate any revenue or business opportunities. The number of job requests and the quality of connections depend on factors entirely outside our control, including your profile completeness, service area, trade specialty, facility manager demand, and competition from other listed contractors. Membership fees are not refundable based on the number or quality of job requests received.

10. Upgrades and Downgrades

Upgrades

Upgrades to a higher membership tier take effect immediately. When you upgrade mid-billing-cycle, you will be charged a prorated amount equal to the difference between your current tier rate and the new tier rate for the number of days remaining in the current billing period. Future billing will reflect the new tier rate on your regular billing date.

Downgrades

Downgrades to a lower membership tier take effect at the end of your current billing period. You will retain all features and benefits of your current tier until the end of the billing period in which the downgrade is requested. No partial refund is issued for the difference in tier pricing during the current billing period. Future billing will reflect the lower tier rate beginning on the next billing date.

11. Account Termination by FacilityRegister

FacilityRegister reserves the right to terminate or suspend any contractor membership at any time, subject to the following terms:

  • Termination for cause: If your membership is terminated due to violation of this Agreement, the Terms of Service, or other platform policies, no refund will be issued for any prepaid membership fees.
  • Termination without cause: If FacilityRegister terminates your membership without cause, a prorated refund for unused, prepaid subscription time will be issued to the original payment method within ten (10) business days.
  • Platform discontinuation: In the event that FacilityRegister permanently discontinues the platform, a prorated refund for remaining prepaid time will be issued to all active paid subscribers.

12. Changes to Pricing

FacilityRegister reserves the right to change membership pricing at any time. We will provide at least 30 days’ written notice to active subscribers before any price change takes effect. Notice will be delivered via email to the address on file with your account. Price changes will take effect on your next billing date following the close of the notice period. If you do not agree to a price change, you may cancel your membership before the new price takes effect without penalty. Continued use of the platform after a price change takes effect constitutes your acceptance of the new pricing.
