1. Directory Purpose

FacilityRegister.com is an online directory platform operated by Proactive Facility Solutions, LLC that connects facility managers with independent maintenance contractors. FacilityRegister is not a contractor referral service, staffing agency, placement service, or party to any agreement between facility managers and contractors. We do not employ, supervise, direct, or control any contractor listed on the platform. Contractors listed on FacilityRegister are independent businesses, and any relationship formed through the platform is solely between the facility manager and the contractor.

2. No Endorsement

The listing of any contractor on FacilityRegister does not constitute an endorsement, recommendation, warranty, or guarantee of that contractor’s services, qualifications, reliability, business practices, or fitness for any particular purpose. FacilityRegister does not independently verify the accuracy of information on Basic tier listings.

Where a contractor has obtained a verification badge through our voluntary verification process, that badge indicates only that the contractor submitted documentation — such as a contractor license or certificate of insurance — that was reviewed and appeared valid at the time of review. A verification badge does not guarantee ongoing compliance, current license or insurance status, quality of work, or fitness for any specific project. FacilityRegister does not conduct ongoing monitoring of verified contractors and cannot guarantee that verified credentials have not lapsed, been revoked, or otherwise changed since the time of verification.

3. User Responsibility

Facility managers are solely responsible for conducting appropriate due diligence before hiring any contractor found through FacilityRegister. This includes, without limitation:

• Independently verifying the contractor’s current license status with the appropriate state licensing authority.
• Confirming that the contractor carries adequate general liability and workers’ compensation insurance for the type and scope of work to be performed.
• Checking references and reviewing the contractor’s past work history.
• Assessing the contractor’s suitability and qualifications for the specific project or facility type.
• Entering into a written agreement with the contractor that clearly defines the scope of work, pricing, timeline, and liability.

Contractors are solely responsible for the accuracy, completeness, and currency of their profile information and for maintaining all required licenses, registrations, certifications, and insurance coverage. Contractors must ensure that any claims made in their profiles are truthful and supportable at all times.

4. No Guarantee of Results

FacilityRegister makes no guarantee, warranty, or representation that contractors will receive job requests or generate business through the platform, that facility managers will find contractors suitable for their specific needs, that any business relationship or transaction formed through the platform will be successful, profitable, or free of disputes, or that the platform will remain available, uninterrupted, or free of errors at any particular time. Results vary significantly among users and depend on factors entirely outside FacilityRegister’s control, including market conditions, geographic demand, contractor responsiveness, and the nature of individual projects. Past performance of the platform does not guarantee future results for any individual user.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Proactive Facility Solutions, LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising from or in connection with:

• Your use of or inability to use the FacilityRegister platform.
• Reliance on any contractor profile information, verification badges, or other content on the platform.
• Any transaction, contract, dispute, or relationship formed between a facility manager and a contractor through use of the platform.
• Any work performed or not performed by any contractor listed on the platform.
• Property damage, personal injury, financial loss, or any other harm arising from a contractor relationship initiated through the platform.

This limitation applies whether the claim is based on warranty, contract, tort, statute, or any other legal theory, and whether or not FacilityRegister has been advised of the possibility of such damages. For full liability and warranty terms, please review our Terms of Service.
